1. PARTIES, ACCEPTANCE AND RELATIONSHIP WITH THE TERMS OF USE
1.1. Parties
This Seller Service Agreement ("Seller Agreement") is concluded between the Service Provider operating with the identity details in Clause 1.1 of the Terms of Use and the Seller who creates a shop profile or publishes listings. The Seller's trade name/name-surname, tax identification number and contact details are those declared at registration; the Service Provider checks this information within the scope of Clause 4.
1.2. Acceptance
1.2.1. The Seller Agreement is accepted in the app via a consent box/button separate from acceptance of the Terms of Use (at seller registration, or when an invited/provisioned Seller first uses the seller tools), recorded with version, date and time. Without accepting the Seller Agreement, no shop can be created by the Seller and no listing published.
1.2.2. You are given the opportunity to review the full text before accepting. You can view the version you accepted in the app; your acceptance record is stored in the Service Provider's systems and is provided to you upon request.
1.2.3. If you do not accept the Seller Agreement, you may continue using the Platform as a Buyer under the Terms of Use; no fee or penalty applies for not accepting.
1.3. Relationship with the Terms of Use and priority
1.3.1. The Terms of Use are an integral part of this Seller Agreement. In case of conflict, on seller matters this Seller Agreement applies, and on other matters the Terms of Use apply.
1.3.2. This Seller Agreement cannot be interpreted in a way that reduces the consumer protections in the Terms of Use or mandatory statutory rights.
1.4. Binding nature of the Listing and Price Rules
The Listing and Price Rules (whose version is stated on the rules page) are an annex to this Seller Agreement; they are presented to the Seller before the first listing is published. The current version of the rules is accessible at all times from the Seller account and the web page. Rule changes are announced under Clause 13.
1.5. Authority to represent
The Seller represents that it is authorised to represent and bind the business it represents and that the information provided at registration and verification is accurate and current. Loss of authority or changes to information are notified within 3 business days.
2. CONTENT OF THE SERVICE
2.1. The Seller service includes: (a) creating and managing a shop profile; (b) creating, publishing and managing listings; (c) cashier code verification and shop QR display tools; (d) participation in the business verification process; (e) application, objection and support channels (until the Internal Communication System is launched, the e-mail interim rule in Clause 8.1 applies); (f) viewing the agreement texts in the account and storage of the acceptance record in accordance with Clause 1.2.2; (g) data viewing and export facilities under Clause 10.
2.2. The Service does not include sale, order, payment collection, delivery or invoicing services (Terms of Use Clauses 3-4). The Service Provider does not collect any amount over the Seller's sales to Buyers.
2.3. Technical features of the Seller panel and tools may change with product development; material changes affecting the Seller's rights are announced under Clause 13.
3. FEES AND PAYMENT TERMS
3.1. Fee tariff (tariff in force on the effective date of this version):
Commission: None (0%)
Listing publication fee: None (TRY 0)
Subscription / listing fee: None (TRY 0)
Cashier code verification fee: None (TRY 0)
Sponsored promotion: not offered in this version; where offered, no fee other than the amount shown and accepted separately at the time of purchase.
3.2. No fee not in the tariff may be demanded from the Seller. No amount may be charged where no service is provided or where the type and amount of the service fee are not stated in this Agreement/tariff.
3.3. If a fee is introduced or an existing fee increased in the future, the type, amount/rate and differentiation conditions of the fee are notified to the Seller at least 30 days in advance via registered e-mail (and additionally via the Internal Communication System once launched), and no collection is made without the Seller's separate acceptance. The Seller may terminate the Seller Agreement free of charge before the period expires; if terminated, the notified fee does not apply. Accepted fees are collected only after acceptance and against documentation issued in accordance with legislation.
3.4. The Service Provider cannot unilaterally change the Seller's sale price and cannot force the Seller into campaign sales.
3.5. If a model where Buyer payment is collected via the Platform is introduced in the future, payment periods, deductions and refund flows do not apply unless separately arranged in writing.
4. VERIFICATION AND CURRENCY OF INFORMATION
4.1. Information that may be requested: trade name/name-surname, business name/brand, address, phone, e-mail, tax identification number (TCKN/VKN), tax office, MERSIS (if any), registered address and authorised person's date of birth (to the extent necessary for authority checks).
4.2. The Service Provider examines the declared identifying information for consistency; this examination does not amount to automated checking via public institutions' electronic systems, document review or on-site inspection (Terms of Use Clause 3.7). The Service Provider may request additional information and documents if it deems necessary. Currency of information is reviewed as a rule at least once a year; the Seller updates changes to its information within 3 business days.
4.3. Listing publication service may not be provided to a Seller whose identifying information cannot be verified or whose information is incomplete; shop visibility may be restricted. In case of restriction, the reason is notified and a reasonable period is given to remedy the deficiency.
4.4. Verification does not mean the Service Provider guarantees that the Seller's activity complies with legislation in every respect, or its financial status or products; the Seller's own statutory obligations are reserved.
4.5. Information shown publicly on the Seller profile (business name, category, address, phone, location and any social media/web links) is the current information declared by the Seller. Official notification details declared by the Seller, such as a KEP address, may be kept in the Seller account to the extent required by legislation; personal data is subject to the Privacy Policy.
5. SHOP AND LISTING OBLIGATIONS
5.1. The Seller is responsible for the shop profile (business details, logo/cover images and links) and listing content (title, description, price, discount, unit and validity period) being accurate, current and not misleading. When a campaign ends, the product runs out or terms change, the listing is deactivated, updated or removed without delay.
5.2. Detailed rules are in the Listing and Price Rules; in particular: (a) calculation of the price before discount (for goods, the lowest price in the previous 10 days; for perishable goods and services, the immediately preceding price) and keeping proof records; (b) showing start/end dates and limited quantities in the listing description; (c) the prohibition on products past their Use-By Date and the Best-Before rules; (d) the discount/promotion prohibition for alcoholic drinks and tobacco products; (e) allergen and labelling information; (f) the prohibition on unauthorised brands/images.
5.3. In case of conflict between the rules summarised in this clause and the Listing and Price Rules, the more detailed rules page applies for the Seller; mandatory provisions of legislation for consumers are reserved.
5.4. The Seller accepts that sale, performance, return and complaint relationships with the Buyer belong to it, and that the Service Provider is not a party, guarantor or intermediary in that relationship.
5.5. The Service Provider is not obliged to monitor Seller listings in advance in general. In case of notified or detected unlawfulness, Clauses 8-9 and 11 apply.
6. CASHIER CODE OBLIGATIONS
6.1. The Seller keeps the code verification tool and the shop QR ready for use by trained staff at the shop; the code's period and single-use nature are as in Clause 4.6 of the Terms of Use.
6.2. Listing terms are applied to a Buyer presenting a valid code or showing a valid confirmation screen; the discount may be withheld only for the reasons listed in Clause 4.6.4 of the Terms of Use, explaining the reason to the Buyer.
6.3. Code verification records (time, listing, price snapshot) may be submitted by the parties in dispute resolution; record retention is subject to the Privacy Policy and statutory periods.
6.4. In case of a suspected fake code or fake confirmation screen, or system abuse, the Seller notifies via the Internal Communication System (until the system is launched, to support@merilinapp.com under the interim rule in Clause 8.1) without delay.
7. RANKING AND SPONSORED PLACEMENT
7.1. Main parameters (general framework): Ranking is primarily by distance to the Buyer; at similar distances, listing price is also taken into account. Shops with active listings are shown ahead of those without active listings. The Buyer's filters and preferences (favourites, category, discount rate, remaining time, distance setting) narrow or re-order the results. The marked sponsored area under Clause 7.2 is reserved. Material changes to parameter weights affecting the Seller are announced under Clause 13.
7.2. Promotion for a fee or other consideration is done only by labelling it as Sponsored Content; the effect of sponsored placement on ranking is limited to the labelled area and that area's announced criteria. Organic ranking cannot be secretly changed against a non-paying Seller because payment was made.
7.3. The Service Provider accepts that it will not intervene in search and ranking results in a way that favours its own products/services or businesses owned by it against Sellers; if such differentiation is introduced, it is announced in advance.
7.4. The Seller may not engage in deceptive behaviour aimed at manipulating ranking, such as fake interactions or fake listings.
8. COMPLAINTS AND INTERNAL COMMUNICATION SYSTEM
8.1. The Internal Communication System is the application/objection channel accessed from within the Seller account. It is announced before being put into use; until the announcement, applications sent from the Seller's registered e-mail address to support@merilinapp.com count as Internal Communication System applications.
8.2. Seller applications are as a rule concluded within 15 days and the outcome is notified to the Seller. The current and accepted versions of this Agreement are kept viewable, recordable and copyable without alteration in the Seller account during the agreement and for 1 year after it ends.
8.3. Buyer complaints: the Seller replies as a rule within 3 business days to Buyer questions/complaints directed to it. A complaint received via the Service Provider is conveyed to the Seller via its registered e-mail, with its reason and without disclosing the Buyer's personal data; the Seller provides its explanation and (if any) remedy information within a reasonable time.
8.4. Repetitive, unresolved or misleading-listing complaints may be a basis for the proportionate measures in Clause 11; the Seller's opportunity to explain before a measure is as in Clause 11.2.
9. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
9.1. The Seller represents that it holds the necessary rights in the content it uploads. The content licence is limited to Clause 10.4 of the Terms of Use; the Service Provider cannot use the Seller's brand as an independent product.
9.2. Rights infringement applications are made via the channels in Clause 10.2 of the Terms of Use. The Service Provider examines the infringement claim without delay and as a rule within 48 hours; it removes content whose infringement is clear and notifies the situation to the Seller and the applicant with reasons.
9.3. If the Seller's objection is clearly right from the information/documents provided, the content is as a rule republished within 24 hours and the applicant is informed.
9.4. Repeated rights infringements may be a basis for account restriction under Clause 11.
10. DATA ACCESS, PORTABILITY AND RETENTION
10.1. During the agreement, the Seller can access its own shop, listing and code verification data via the panel.
10.2. After the agreement ends, the Seller is as a rule given 1 year to view and export its own shop/listing information; this facility is provided via read-only account access or by delivering the data to the Seller upon request. Data portability requests are met as a rule within 15 days, with Buyer information anonymised and in a commonly used electronic format.
10.3. Processing, retention periods and deletion of personal data are subject to the Privacy Policy and KVKK rules. This clause does not create a right to provide Buyer personal data to the Seller in bulk.
11. SUSPENSION, RESTRICTION AND TERMINATION
11.1. Objective grounds: breach of the Terms of Use or the Listing and Price Rules; misleading price/discount; listing of Use-By-expired or prohibited products; fake information/documents or content; fraud or security risk; third-party rights infringement; decision of a competent authority; unverifiable business information; repeated breach of the Clause 8.3 complaint obligation.
11.2. Procedure: except in urgent cases, before restriction/suspension/termination the reason is clearly notified and the Seller is given at least 3 business days to explain. If the explanation is insufficient or not given in time, the decision is notified with its reasons. In cases of fraud, data breach, cyber security, public order or legal obligation, the measure may be taken immediately; its reason is notified without delay afterwards.
11.3. Sanctions are proportionate and may be applied gradually: warning, removal of the relevant listing, visibility restriction, temporary stopping of listing publication, suspension of the account and, as a last resort, termination. No disproportionate repeat sanction is applied for the same act.
11.4. Termination by the Service Provider without cause: the Service Provider may terminate the Seller Agreement without showing cause, with at least 30 days' prior notice. In this period the Seller may regularly wind down active listings and codes together with the data facilities in Clause 10.
11.5. Termination by the Seller: the Seller may terminate the Seller Agreement at any time, via the app or the Internal Communication System (until the system is launched, from its registered e-mail address under the interim rule in Clause 8.1), without penalty or termination fee. Upon termination, the shop and listings are removed from publication; relationships formed with Buyers outside the Platform are not affected.
11.6. Objection: the Seller may object to Clause 11 decisions via the Internal Communication System (until the system is launched, from its registered e-mail address under the interim rule in Clause 8.1); objections are concluded within the Clause 8.2 period. If the decision is revoked, the shop/listing is restored without delay and data access is re-provided.
12. LIABILITY AND INDEMNITY
12.1. Clause 14 of the Terms of Use (liability that cannot be limited, cap, mutual indemnity, administrative fines remaining with the party they belong to, and force majeure) applies exactly in the Seller relationship as well; in case of conflict, the Seller-specific rules in this clause apply.
12.2. The Seller indemnifies the Service Provider, to the extent of its fault and causation, against third-party claims arising from its own listing, content and business activity. The Service Provider indemnifies the Seller on the same basis for claims arising from its own software, ranking system and employee/representative acts.
12.3. An indemnity claim is notified to the other party without delay; the parties cooperate reasonably in the defence.
13. CHANGES
13.1. Change notice is made via registered e-mail (and additionally via the Internal Communication System once launched) and by in-app announcement; the reason and a summary of the changed clauses are attached to the notice. Previous versions are stored in the Service Provider's systems and provided to the Seller upon request.
13.2. Changes take effect 15 days after notice. In cases requiring technical development, and in introducing/increasing fees, restricting the service, aggravating suspension/termination conditions or introducing new penalty clauses, this period is 30 days and the Seller may terminate free of charge before the period expires.
13.3. No change detrimental to the Seller may be made with retroactive effect. Where a change legally requires separate acceptance (such as fees), Clause 3.3 applies.
13.4. In mandatory changes due to regulatory authority decisions, statutory periods apply; the Seller is informed without delay.
14. TERM, GOVERNING LAW AND MISCELLANEOUS
14.1. The Seller Agreement is for an indefinite term; it remains in force until terminated under Clause 11.
14.2. The governing law is the law of the Republic of Türkiye. Since the Seller acts as a merchant/artisan, subject to mandatory venue rules, the courts and enforcement offices of Isparta (Central) have jurisdiction in disputes. The binding text is the Turkish text (Terms of Use Clause 1.8); translations are for information purposes. For transactions where the Seller acts as a Buyer, the consumer routes in Clause 16.2 of the Terms of Use are reserved.
14.3. Notices are made to the Seller via registered e-mail (and additionally via the Internal Communication System once launched), and to the Service Provider via support@merilinapp.com until the Internal Communication System is launched, and via the system thereafter. The Notification Law No. 7201 is reserved.
14.4. The Seller may not assign its rights and obligations under the Seller Agreement without the Service Provider's written consent. In case of transfer of the business, the situation is notified within 3 business days; the Service Provider may request verification for the new business.
14.5. Invalidity of one clause does not affect the others. Termination does not extinguish rights and obligations arisen before termination or provisions that by their nature apply after termination (such as Clauses 10 and 12). Delayed exercise of a right is not a waiver. Headings are for ease of interpretation.
This version takes effect upon your acceptance under Clause 1.2.
